EXTruckie, why? is just choose another windows theme. i don't have any path into my utxtheme.dll and i have all updates installed (i've changed my hd yesterday, so i still don't have all of my softs yet to show you all what is installed, but i grant you: all critical, noncritical, a lot of components, etc, sp3 and this sort of thing is installed) and take a look at my shutdown screen:

the theme that i'm running is windows classic, but it works with other themes too. by the way: goto my computer, right click it, properties, advanced, speed (i'm not kite sure of this translation, but it's the first option), settings and, in visual effects, be sure that "let windows choose" is selected or take a list of that screen. somethings in that may remove themes too

edit: i forgot the obvious: take a look in your networking, looking something like netware or some sort of other network client in there. also, in control panel, administrative tools (i'm not kite sure of this translation), services, look for themes to see if it's disabled, not running or is in automatic. those things also can do this issue that you have
